1. Agreement to These Terms

These Terms of Service ("Terms") form an agreement between you and NexLabs Studios LLC ("NexLabs," "we," "our," or "us").

By accessing or using a NexLabs website, application, game, service, platform, API, server, community, or other product, you agree to these Terms and any additional policies that apply to the specific service.

If you do not agree to these Terms, do not use the applicable NexLabs service.

2. Eligibility

You may use NexLabs services only if you are legally permitted to enter into these Terms and use the applicable service in your jurisdiction.

Individual games, communities, products, or services may impose additional age requirements.

If you are using a NexLabs service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Accounts

Certain NexLabs services may require an account.

You are responsible for:

• Providing accurate registration information.
• Maintaining the security of your account.
• Protecting passwords, tokens, authentication codes, API keys, and other credentials.
• Activities performed through your account.
• Promptly notifying NexLabs if you believe your account has been compromised.

You may not sell, transfer, lease, or share an account where doing so is prohibited by the rules of the applicable service.

NexLabs may require verification or additional security measures where reasonably necessary.

4. NexLabs Services

NexLabs develops and operates a variety of software, infrastructure, research, gaming, and digital services.

Current and future services may include projects such as:

• ForgeAI.
• HashEmpire.
• Hunt.
• NexLedger.
• NexusRP.
• TheThug.Life.
• DMCA-related services.
• APIs, developer services, automation, hosting, infrastructure, and software services.

Products may be experimental, in development, in beta, discontinued, renamed, combined, replaced, or modified over time.

5. Acceptable Use

You must use NexLabs services responsibly and lawfully.

You may not use a NexLabs service to:

• Violate applicable law.
• Defraud or deceive others.
• Harass, threaten, stalk, or abuse others.
• Distribute malware or malicious code.
• Attempt unauthorized access to systems or accounts.
• Interfere with networks, infrastructure, APIs, servers, databases, or users.
• Circumvent authentication, security, rate limits, access controls, bans, or technical restrictions.
• Conduct unauthorized scraping, automation, or bulk extraction.
• Exploit bugs or vulnerabilities for improper gain.
• Manipulate rankings, economies, transactions, statistics, or game systems through prohibited methods.
• Impersonate another person or organization.
• Infringe intellectual property rights.

6. Games and Online Communities

NexLabs may operate online games, roleplay servers, browser games, multiplayer communities, Discord communities, and related services.

Each community or game may establish additional rules regarding:

• Player conduct.
• Roleplay standards.
• Exploits.
• Cheating.
• Automation.
• Multiple accounts.
• Trading.
• Player-to-player transactions.
• Community behavior.
• Moderation.
• Appeals.

Violations may result in warnings, restrictions, removal of content, loss of privileges, suspension, or permanent bans.

7. Virtual Items, Currency, and Game Assets

Certain NexLabs games may contain virtual currency, points, businesses, inventory, equipment, characters, property, statistics, or other digital items.

Unless a specific service expressly states otherwise, virtual items:

• Exist only within the applicable service.
• Do not represent legal tender.
• Do not represent bank deposits.
• Have no guaranteed monetary value.
• May be modified as part of balancing or development.
• May be removed where associated with cheating, exploitation, fraud, or rule violations.

References to money, crime, businesses, cryptocurrency, wealth, weapons, or other concepts in a fictional game environment do not necessarily represent real-world financial instruments, ownership, or activity.

8. Artificial Intelligence Services

NexLabs may provide artificial intelligence features, research systems, model interfaces, AI-generated content, retrieval systems, automation, and related technologies.

AI-generated output may:

• Contain errors.
• Be incomplete.
• Be outdated.
• Misinterpret information.
• Produce unexpected results.

You are responsible for evaluating AI-generated output before relying on it.

Experimental or research systems, including ForgeAI, may change frequently and may contain unfinished functionality.

9. Ledger and Blockchain-Related Services

NexLabs may provide ledger systems, blockchain integrations, explorers, wallet-related technology, node infrastructure, asset systems, or similar technologies.

NexLedger is a ledger platform and is not represented as a cryptocurrency merely because it may use concepts, terminology, interfaces, or data structures associated with blockchain or distributed ledgers.

Public blockchain or distributed-ledger information may be permanent, public, and outside NexLabs' ability to modify.

You are responsible for verifying transaction details, addresses, identifiers, and other information before submitting transactions or instructions.

NexLabs is not responsible for losses caused by:

• Incorrect addresses.
• Incorrect transaction information.
• Third-party networks.
• Network congestion.
• Protocol changes.
• Chain reorganizations.
• Third-party wallets.
• User-controlled credentials or keys.

10. Third-Party Services

NexLabs products may integrate with services operated by third parties.

These may include:

• Discord.
• FiveM.
• Hosting providers.
• Cloud providers.
• AI providers.
• Payment processors.
• Authentication providers.
• Blockchain networks.
• APIs.
• External websites.

Your use of third-party services may also be governed by their own terms and policies.

NexLabs does not control and is not responsible for the independent operation of third-party services.

11. Payments, Purchases, and Subscriptions

Certain NexLabs products may offer paid services, subscriptions, licenses, virtual goods, hosting, development services, or other purchases.

Pricing, billing frequency, included features, renewal terms, usage limits, cancellation rules, and applicable taxes may be disclosed at the time of purchase.

Payments may be processed by third-party payment providers.

You agree to provide accurate billing information and authorize applicable charges.

Unless otherwise stated, fees are quoted in the currency shown at checkout.

Refund eligibility may depend on the applicable product, purchase type, service agreement, and law.

12. Intellectual Property

NexLabs websites, software, interfaces, branding, graphics, designs, code, documentation, systems, product names, game content, and other materials may be protected by copyright, trademark, trade secret, or other intellectual property laws.

Except where expressly permitted, you may not:

• Copy NexLabs software or content.
• Reproduce proprietary interfaces or assets.
• Sell or redistribute NexLabs materials.
• Remove copyright or ownership notices.
• Represent NexLabs intellectual property as your own.
• Use NexLabs branding in a way that implies an unauthorized partnership or endorsement.

Open-source software or third-party components remain subject to their respective licenses.

13. User Content

Certain NexLabs services may allow users to submit, upload, post, transmit, create, or store content.

You retain ownership of rights you already hold in your content.

By submitting content to a NexLabs service, you grant NexLabs a non-exclusive license to host, store, process, reproduce, transmit, display, and otherwise use the content as reasonably necessary to operate, moderate, secure, and improve the applicable service.

You represent that you have the rights necessary to submit the content.

NexLabs may remove or restrict content that violates these Terms, applicable law, intellectual property rights, community rules, or our policies.

14. Feedback and Suggestions

If you voluntarily provide ideas, feature suggestions, feedback, bug reports, concepts, or recommendations, NexLabs may use that feedback without restriction or obligation to compensate you, unless a separate written agreement states otherwise.

15. Availability and Changes to Services

NexLabs may modify, update, suspend, replace, restrict, or discontinue all or part of a service.

Services may occasionally be unavailable because of:

• Maintenance.
• Updates.
• Infrastructure failures.
• Third-party outages.
• Network problems.
• Security events.
• Software bugs.
• Events outside NexLabs' reasonable control.

NexLabs does not guarantee uninterrupted or error-free availability.

16. Suspension and Termination

NexLabs may suspend, restrict, or terminate access to a service where reasonably necessary, including where we believe:

• These Terms were violated.
• A user poses a security risk.
• Fraud or abuse occurred.
• Cheating or exploitation occurred.
• Payment obligations were not satisfied.
• Continued access could harm NexLabs, other users, or third parties.
• Suspension is required by law.

Certain provisions of these Terms that logically should survive termination will continue to apply after termination.

17. Disclaimers

To the fullest extent permitted by law, NexLabs services are provided on an "as is" and "as available" basis.

NexLabs does not guarantee that:

• Services will always be available.
• Services will always be error-free.
• Every defect will be corrected.
• Data will never be lost.
• AI-generated information will always be accurate.
• Third-party services will remain available.
• Game economies or features will remain unchanged.

Where applicable law does not permit certain disclaimers, those disclaimers apply only to the maximum extent permitted.

18. Limitation of Liability

To the maximum extent permitted by applicable law, NexLabs Studios LLC and its owners, officers, employees, contractors, partners, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of a NexLabs service.

This may include loss of:

• Data.
• Profits.
• Revenue.
• Business opportunities.
• Game progress.
• Virtual items.
• Reputation.
• Access to third-party services.

Where liability cannot legally be excluded, NexLabs' liability will be limited to the maximum extent permitted by applicable law.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless NexLabs Studios LLC and its owners, officers, employees, contractors, partners, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from:

• Your misuse of a NexLabs service.
• Your violation of these Terms.
• Your violation of law.
• Your infringement of third-party rights.
• Content you submit.

20. Disputes and Governing Law

These Terms will be governed by applicable law, including the law governing NexLabs Studios LLC, without regard to conflict-of-law principles where legally permitted.

Before initiating formal proceedings, you agree to make a reasonable effort to contact NexLabs and attempt to resolve the dispute informally.

Any jurisdiction, venue, arbitration, or other dispute resolution requirements established in a separate written agreement with NexLabs will control where applicable.

21. Changes to These Terms

NexLabs may update these Terms as our products, services, business practices, technology, or legal obligations change.

The "Last Updated" date at the top of this page will identify the latest revision.

Continued use of a service after updated Terms become effective may constitute acceptance of the revised Terms where permitted by law.
